Terms & Conditions

These Terms and Conditions ("Terms") govern the purchase of products and use of services provided by BCA Distributors (Beetins CA LLC) ("Company," "we," "us," or "our"). By placing an order or purchasing from us, you ("Customer," "you") agree to these Terms.

1. Orders and Acceptance

All orders are subject to acceptance by BCA Distributors. We reserve the right to refuse or cancel any order at our discretion. An order is considered accepted only when confirmed by an authorized representative of BCA Distributors in writing (email or written invoice). Verbal agreements are not binding unless subsequently confirmed in writing.

2. Pricing and Payment

• All prices are quoted in U.S. dollars and are subject to change without notice prior to order confirmation.
• Payment is due according to the terms specified on the invoice (e.g., Net 15, Net 30, or prepaid).
• Accounts past due by more than 30 days may be subject to a late fee of 1.5% per month on the outstanding balance.
• BCA Distributors reserves the right to require prepayment for new accounts or customers with past delinquencies.
• We accept payment by check, ACH/bank transfer, or approved credit card. Credit card payments may incur a processing fee.

3. Minimum Orders

BCA Distributors may require minimum order quantities or minimum order values for certain products or delivery routes. These minimums will be communicated at the time of quoting or ordering.

4. Delivery and Shipping

• We offer local delivery within our Bay Area service area. Delivery schedules and lead times will be communicated at the time of order.
• Delivery fees, if applicable, will be stated on the invoice.
• Risk of loss passes to the Customer upon delivery. If products are shipped via third-party carrier, risk of loss passes upon hand-off to the carrier.
• BCA Distributors is not responsible for delays caused by carrier issues, weather, or other factors outside our control.

5. Inspection and Claims

• Customers must inspect all deliveries at the time of receipt.
• Any claims for shortages, damages, or incorrect items must be reported to BCA Distributors within 48 hours of delivery.
• Failure to report within this window may result in denial of the claim.
• Claims must be submitted in writing to sales@beetinsca.com with supporting documentation (photos, delivery receipt, etc.).

6. Returns and Credits

• Returns are accepted only for products that are defective, damaged upon delivery, or incorrectly shipped.
• No returns will be accepted for products that have been opened, used, or stored improperly.
• Approved returns will be credited to the Customer's account or refunded at our discretion.
• All return requests must be pre-approved by BCA Distributors. Unauthorized returns will not be accepted.
• Credit memos, if issued, will be applied to the Customer's next invoice. Cash refunds are issued only at the Company's discretion.

7. Product Availability and Substitutions

BCA Distributors makes reasonable efforts to maintain product availability. However, we reserve the right to substitute a product of equal or greater quality in cases of stock shortages. Customers will be notified of any substitutions prior to delivery when possible.

8. Product Specifications and Use

• All products are sold for standard commercial foodservice use unless otherwise specified.
• Customers are responsible for ensuring that products meet all applicable local, state, and federal regulations for their intended use (e.g., food safety laws, environmental ordinances regarding single-use plastics).
• BCA Distributors makes no warranties, express or implied, regarding the fitness of any product for a specific purpose beyond the manufacturer's standard intended use.

9. Taxes

Customers are responsible for all applicable sales taxes, use taxes, and other governmental charges. Tax-exempt customers must provide a valid and current exemption certificate at the time of account setup or order placement.

10. Credit Accounts and Terms

• Credit terms are extended at the sole discretion of BCA Distributors following a credit review.
• BCA Distributors reserves the right to modify, suspend, or revoke credit terms at any time.
• Customers who dispute an invoice must notify us in writing within 10 business days of the invoice date. Undisputed portions of the invoice remain due on the original payment terms.

11. Limitation of Liability

To the fullest extent permitted by applicable law, BCA Distributors shall not be liable for any indirect, incidental, consequential, or punitive damages arising from the purchase or use of our products, including but not limited to lost profits, business interruption, or property damage. Our total liability for any claim shall not exceed the invoice value of the products giving rise to the claim.

12. Force Majeure

BCA Distributors shall not be liable for failure or delay in performance due to causes beyond our reasonable control, including but not limited to natural disasters, pandemics, supply chain disruptions, labor disputes, government actions, or transportation failures.

13. Intellectual Property

All content on the BCA Distributors website, including logos, product descriptions, imagery, and branding, is the property of BCA Distributors (Beetins CA LLC) and may not be reproduced or used without prior written consent.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to conflict of law principles. Any disputes arising from these Terms shall first be subject to good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration in Alameda County, California, in accordance with the rules of the American Arbitration Association.

15. Modifications to Terms

BCA Distributors reserves the right to update or modify these Terms at any time. Updated Terms will be posted on our website and will be effective upon posting. Continued use of our services after any modifications constitutes acceptance of the revised Terms.
